PRIVACY POLICY

This Privacy Policy is incorporated by reference into the Upsider Terms of Use. The terms “Upsider,” “we,” and “us” include Upsider, Inc. and our affiliates and subsidiaries.  The Privacy Policy explains how  Upsider  may  collect , use, and disclose information we obtain through the “Service.”  Any capitalized terms not defined in this Privacy Policy have the meaning set forth in the Terms of Use.

    “Personal Information” can be used to readily identify,  contact, or locate you.  

Personal Information” means information that alone or when in combination with other information maybe used to readily identify, contact, or locate you, such as: name, address,email address, or phone number.  We do not consider Personal Information to include information that has been anonymized so that it does not allow a third party to easily identify a specific individual.

The Service Collects Your Information

We collect Personal Information when you:  
Register to use the Service;

Log in with social media credentials;

Use the Service;

And communicate with us.
 
We also collect information, such as anonymous usage statistics, by using cookies, server logs, and other similar technology as you use the Service.

Registration and Account Information.  You must register to use the Service.  To register, you may need to provide Personal Information, such as your name and contact information.  You may also be asked to provide other information, such as your employment history.

Social Connect. When you choose to connect your social media account to your Service profile,we collect Personal Information from that social media website.  For example, when you connect your Facebook account, we may collect the Personal Information you have made publicly available in Facebook, such as your name, user ID, profile picture, cover photo, username, gender, networks, age range, language, country, friend list,and any other information you have made public. We may also obtain other non-public information from social  media websites with your permission.

Using the Service. We collect information you provide through the Service.  For example, we collect the information youadd to your profile, such as your profile photo, contact information,demographic information, employment history, education history, survey answers,social media profile URLs, and your resume. When you interact with other users by initiating and receivingcommunications through the Service, the Service will collect the informationprovided in such submissions, including any Personal Information.

From Third Parties. To improve benchmarking data and the analysis we can provide to you, we may collect information about you from third-party data providers.

Making Payments.  When you make payments through the Service, you may need to provide financial account information, such as your credit card number,to our third-party service providers.  Wedo not collect or store such information, though we may receive summaryinformation about transactions that does not include credit card or bankaccount numbers.

Referrals. A user may submit Personal Information, such as an email address, about others to us so that the user can recommend the Service to them.  We use the information to send a communication to the individual and then delete the information.  The recipient of an invitation to use the Service may see your name and email address as the referrer.

Customer Support. We may collect Personal Information through your communications with ourcustomer-support team.  

Cookies, Automatic DataCollection, and Related Technologies. The Service collectsand stores information that is generated automatically as you use it, includingyour preferences and anonymous usage statistics.Whenwe associate such information with Personal Information, we will treat thecombination as Personal Information.

Referrals. A user may submit Personal Information, such as an email address, about others to us so that the user can recommend the Service to them.  We use the information to send a communication to the individual and then delete the information.  The recipient of an invitation to use the Service may see your name and email address as the referrer.

When you use the Service or receive emails from us or facilitatedby us, we and our third-party partners, such as advertising networks, socialmedia widgets, and analytics providers, use “cookies” and other similartechnologies to collect information about how the Service or email is accessed.  For example, when a user of the Serviceinitiates an email communication through the Service, the email has technologyembedded in it so that we can track information about the email, such as whenit was received, opened, clicked on, etc. This technology remains in the email string, so when this email isreplied to or forwarded, we are able to track the same information as it isdistributed.  This tracking does notcollect or monitor the content of the email or any Personal Information. We donot and cannot track email strings that were not originally initiated by theService.Our partners also may collect information about your online activitiesover time and on other websites or apps. When they provide such services, theyare governed by their own privacy policies. You may beable to change browser settings to block and delete cookies when you access theService through a web browser.  However,if you do that, the Service may not work properly.

When we combine thisautomatically collected data with your account’s Personal Information we willtreat the combined set of information as Personal Information.

Consent.By using the Service, you areauthorizing us to gather, parse, and retain data related to the provision ofthe Service.

How UpsiderUses Your Information

We use Personal Information to:


              Facilitate and improve our services;

              And   communicate with you.    


We may use aggregate  information for any purpose, including for marketing purposes.  

Internal and Service-Related Usage.  We use information, including PersonalInformation, for internal and service-related purposes and may provide it tothird parties to allow us to facilitate the Service.  For example, we analyze user profile data tocreate aggregated and anonymized benchmark reporting.  These statistics and reports will not includePersonal Information.  We may also analyze your profile data to recommend companies, job opportunities, andproducts and services that may interest you.We may use and retain any data wecollect to provide and improve any of our services.

Communications.  We may send email to the email address you provide to us, and call or text message you with your consent, to verify your accountand for informational and operational purposes, such as account management,customer service, system maintenance, and other Service-related information.

Marketing. We may use information, including Personal Information, to provide online advertising and recommendations on the Service and to facilitate transmittal of information we think may be useful or relevant to you.  You may opt out of marketing emails by usingthe unsubscribe link in the marketing emails, but you may still receive operational and information email messages.

Aggregate Data. We may anonymize or aggregate data collected through the Service and useit for any purpose.

How Upsider Uses Your Information

We may share your Personal Information:
   With our third-party vendors and service providers;

   With companies who use the site,

   With your consent;

   To comply with legal obligations;

   To protect and defend our rights and property;

   And with your permission.

We do not rent, sell, or share Personal Information about you with other people or nonaffiliatedcompanies for their direct marketing purposes, unless we have your permission.

We Use Vendors and Service Providers.  We may share any information we receive withvendors and service providers retained in connection with the provision of theService.

Displaying or Providing to Other Users.Some information and content you provide to the Service may be provided to other users of the Service.  Your Personal Information maybe shared with other users when you direct the Service to share it, includingwith companies who use the Service.  For example:


·        A company may see that a particular individual (you) meets certaincriteria and use the Service to contact you to see if you are interested intalking.  The Service does not provideany Personal Information to the company, so the company is reaching out to ananonymous person.  If you choose torespond to the company, the company will receive any information in yourresponse, including your email address, as well as contact information in yourprofile, such as your telephone number. The company will not have access to your profile information.


·        You may use the Service to initiate contact with companies who usethe Service.  When you contact a company,the recipient will receive your name, certain summary statistics, and anyinformation you put in the message.  

We are not responsible for the privacy practices of users who willview and use the information you provide to them through the Service.

Social Networking and Other Websites.  The Service may allow you to shareinformation, including Personal Information, with social networking websites,such as Facebook.  We do not share yourPersonal Information with them unless you direct the Service to share it.  Their use of the information will be governedby their privacy policies, and you may be able to modify your privacy settingson their websites.

Marketing. We do not rent, sell, or share Personal Information about you with other people or nonaffiliated companies for their direct marketing purposes, unlesswe have your permission.  We may allow access to other data collected by the Service to enable the delivery of onlineadvertising or offers on the Service, or otherwise facilitate transmittal ofinformation, such asby email, we think may be useful or relevant to you.When you opt out of personalized advertising,you may continue to see online advertising on the Service.

Legal and Similar Disclosures. We may access, preserve, and disclose collected information, if webelieve doing so is required or appropriate to: comply with law enforcementrequests and legal process, such as a court order or subpoena; respond to yourrequests; or protect your, our, or others’ rights, property, or safety.

Merger, Sale, or Other Asset Transfers.If we are involved in a merger, acquisition, financing due diligence,reorganization, bankruptcy, receivership, sale of Upsider assets, or transitionof service to another provider, your information may be sold or transferred aspart of such a transaction as permitted by law and/or contract.  We cannot control how such entities may use ordisclose such information.

With Your Permission. We may also disclose your Personal Information with your permission.

Information Security

We take steps to ensure that your information is treated securelyand in accordance with this Privacy Policy. Unfortunately, the Internet cannot be guaranteed to be 100% secure, andwe cannot ensure or warrant the security of any information you provide tous.  We do not accept liability forunintentional disclosure.



By using the Service or providing Personal Information to us, youagree that we may communicate with you electronically regarding security,privacy, and administrative issues relating to your use of the Service.  If we learn of a security system’s breach, wemay attempt to notify you electronically by posting a notice on the Service orsending an email to you.  You may have alegal right to receive this notice in writing. To receive free written notice of a security breach (or to withdraw yourconsent from receiving electronic notice), please notify us at support@upsider.co.

Children's Privacy

    We do not knowingly collect information from children under 13.  We will take steps to delete it if we learn  we have collected it.  

We do not knowingly collect, maintain, or use personal informationfrom children under 13 years of age, and no part of the Service is directed tochildren under the age of 13.  If youlearn that your child has provided us with personal information without yourconsent, you may alert us at support@upsider.co. If we learn that we have collected any personal information fromchildren under 13, we will promptly take steps to delete such information andterminate the child’s account.

International Users

    By using the  Service, you will transfer data to the United States.  

If you are visiting from the European Union or other regions with laws governing data collection and use, please note that you are agreeing to the transfer of your information to the United States and processing globally. By providing your information you consent to any transfer and processing in accordance with this Privacy Policy.

UPDATE YOUR INFORMATION OR POSE AQUESTION OR SUGGESTION

If you would like to update, correct, or remove any informationthat you have provided to us through your use of the Service or otherwise, orif you have suggestions for improving this Privacy Policy, please send an emailto support@upsider.co. If you are under the age of 18 and a California resident, you mayrequest that content or information you posted to the Service no longer bepublicly accessible from the Service by sending an email to support@upsider.co. After completing the request, we may continue to hold yourcontent and informationand such content andinformation may remain publicly available if yourassociation with the content and information is removed or another user posted,copied, or re-posted the content and information.

CHANGES TO OUR PRIVACY POLICY AND PRACTICES

    We may revise this  Privacy Policy, so review it periodically.  

Posting of Revised Privacy Policy.  We will post any adjustments to the PrivacyPolicy on this web page, and the revised version will be effective when it isposted.  If you are concerned about howyour information is used, bookmark this page and read this Privacy Policy periodically.

New Uses of Personal Information. From time to time, we may desire to use Personal Information for usesnot previously disclosed in our Privacy Policy. If our practices change regarding previously collected PersonalInformation in a way that would be materially less restrictive than stated inthe version of this Privacy Policy in effect at the time we collected theinformation, we will make reasonable efforts to provide notice and obtainconsent to any such uses as may be required by law.
